These Terms and Conditions (“Terms”) apply to all users of the software solutions and related services (“Services”) provided by VitalGems, a brand of Health E-Solutions B.V., registered in the Netherlands under Chamber of Commerce number 59605405, with its registered office located at Willem Ruyslaan 225, 3063 ER Rotterdam.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. Use of the Services
Users are granted a non-exclusive, non-transferable license to use the VitalGems software for internal professional use only. Unauthorized copying, distribution, or resale is strictly prohibited.
3. Account and Access
Access to the Services is controlled via secure, role-based user accounts. Users are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account.
4. Data Privacy and Security
We are committed to protecting the privacy and security of your data. All personal and medical data is processed in compliance with the General Data Protection Regulation (GDPR) and relevant Dutch healthcare laws. Please refer to our Privacy Policy for more information.
5. Updates and Maintenance
VitalGems software is regularly updated to improve functionality and security. Scheduled maintenance may result in temporary service interruptions. We will make reasonable efforts to notify users in advance.
6. Support
We offer technical support during business hours via [email/phone/support portal]. Response times may vary depending on the nature and urgency of the request.
7. Limitation of Liability
Health E-Solutions B.V. is not liable for any indirect, incidental, or consequential damages arising from the use of the Services. Liability is limited to the amount paid for the Services in the previous 12 months.
8. Termination
We reserve the right to suspend or terminate user access in the event of a breach of these Terms. Upon termination, all rights granted under these Terms will cease.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be submitted to the competent court in the jurisdiction where Health E-Solutions B.V. is established.
10. Changes to the Terms
We may update these Terms from time to time. Users will be notified of significant changes. Continued use of the Services constitutes acceptance of the updated Terms.
